Terms and Conditions
EasyDate plc ("EasyDate"), to enter an agreement to provide a white label dating interface for an EasyDate White Label Partner ("You") to create a dating site, where the EasyDate White Label Partner develops and markets the dating site and EasyDate is responsible for the operations of such site. Both parties to share revenues from dating membership upgrades.
To be an authorised member of the EasyDate White Label Dating Network and become an EasyDate White Label Partner, you agree to abide by the terms and conditions contained in this agreement.
1. TERMS OF REFERENCE

| Gross Revenues: | All revenues generated by members who make dating payments |
| Revenue Share: | Your net commission. Net commission means gross sales minus VAT, merchant and credit card charges, cost of currency conversions to sterling, chargebacks, refunds and fraudulent payments. |
| Customer Base: | New and existing members of your dating website |
| Standard Membership: | Type of membership obtained, for free, at the moment of registration. The member becomes a Standard Member upon registration. |
| Membership Upgrade: | A membership upgrade occurs when a Standard Member buys a dating membership and becomes a Full Member. |
2. AUTOMATIC APPROVAL
2.1 All EasyDate White Label Partner applications are approved automatically. However, if you breach our terms and conditions your account may be cancelled and you will not receive any payments from EasyDate plc.
3. TRAFFIC QUALITY
3.1 If after a period of 6 months, from the moment your dating site goes live, your site has attracted less than 100 registrations, your dating site may be de-activated until further notice.
3.2 EasyDate plc reserves the right to deactivate your account if chargebacks generated by your Members exceed 3% of payments. You are advised to check the number of chargebacks in your account regularly and take the necessary measures if your chargeback levels are approaching this percentage.
4. EASYDATE WHITE LABEL PARTNER ACCOUNT CANCELLATIONS
4.1 If your dating site attracted less than 100 registrations (free sign ups) during its first 6 months, from the moment the site went live, or you have breached our terms and conditions, EasyDate may:
- De-activate your dating site
- Cancel your EasyDate White Label Partner account
- Terminate this agreement
5. YOUR DATING WEBSITE
5.1 EasyDate will provide an interface through which you will be able to create your own dating site
5.2 EasyDate will host your dating website and carry out all necessary maintenance to guarantee acceptable uptime/performance
5.3 EasyDate will be responsible for regular email communication with your dating members; i.e. provision of login details upon registration, promotional emails to encourage membership upgrades
5.4 EasyDate will be responsible for technical support to dating members
5.5 EasyDate will be responsible for customer service in relation to your dating site
5.6 EasyDate will provide traffic and revenue details via a reporting interface
6. PARTNERSHIP COSTS
6.1 Your dating site will be provided for free as well as the access to the interface through which you will create your dating site
7. BRANDED, WHITE LABEL, NICHE AND BESPOKE DATING SITES
7.1 If an EasyDate White Label Partner requires a higher level of customization to their dating site, charges will apply. To discuss specific requirements, contact: wl_partners@easydate.biz
7.2 In the event that a partner uses a bespoke design and layout, different to the standard EasyDate templates, we cannot take responsibility for the appearance and content of the site implemented by a partner.
8. OWNERSHIP AND MANAGEMENT OF THE CUSTOMER BASE
8.1 All customer records and data relating to members registering and/or subscribing via your dating site, as well as existing members of your dating site, will be owned 100% by EasyDate.
8.2 In the collection and usage of user information, both parties will use all reasonable endeavors to comply with the Data Protection Act 1998.
8.3 As an EasyDate White Label Partner, you are not allowed to copy any dating profile details from existing or newly registered/subscribed members at any point.
9. DATA AND DATA PROTECTION
9.1 EasyDate and all EasyDate White Label Partners shall use all reasonable endeavors to comply with The EU Privacy and Electronic Communications (EC Directive) Regulations which came into force on 11 December 2003.
9.2 EasyDate White Label Partners will not process any data provided by EasyDate other than in accordance with the terms of this agreement or as permitted by law and it will comply with the Data Protection Act to ensure appropriate security measures are taken to protect all Personal Data.
10. MARKETING
10.1 You agree to fund and manage all marketing activities to promote your EasyDate White Label dating site.
11. MEMBERSHIP COSTS
11.1 EasyDate plc is entitled to change membership costs on a Partner’s site at its sole discretion
12. REVENUE SHARE PAYMENTS
EasyDate plc will award revenue share payments to members of the EasyDate White Label Dating Network based on the following commission tables:
12.1 First Time Sales
You will be paid 60% to 80% revenue share, according to the following table:

11.2 Repeat Sales
You will be paid 40% to 60% revenue share, according to the following table:

12.3 No payments are made for registrations (free sign ups) to your dating site. You will only receive payments for first-time sales and repeat sales.
12.4 EasyDate plc will award revenue share payments to white label partners on first-time sales and repeat sales, based on monthly traffic.
12.5 Revenue share payments mean gross dating revenue minus: VAT, merchant and credit card charges, cost of currency conversions to sterling, chargeback’s, refunds and fraudulent payments.
13. PAYMENTS
13.1 Revenue share payments will be made by cheque, bank transfer or PayPal 20 days after the last day of the calendar month, when a partner reaches the payout minimum selected during the registration process. For example:
If you reach your payout minimum in Jan 2010, your payment will be transferred 20 days after 1st Feb 2010.
You are responsible for making sure that accurate payment details were provided during the registration process. Payments to partners won’t be transferred unless correct payment details are provided by a partner.
13.2 Payments will only be issued once you have accrued a minimum of £100 in revenue share, generated by your dating site.
14. LOGOS AND COPYRIGHT
14.1 Your dating site will display a "Powered by EasyDate" logo on the footer of the site.
14.2 You cannot 'lift' or copy text from your EasyDate White Label Site for use on any other website or a dating site provided by another company.
15. INTELLECTUAL PROPERTY RIGHTS
15.1 EasyDate plc provides the Partner with a right to use its content including trading names, graphic content, slogans etc., or anything else that can identify EasyDate plc or its associated brands. The Partner hereby agrees not to use materials mentioned in any action that can in any way discredit EasyDate plc and its business reputation.
15.2 All website content remains the property of EasyDate or in some instances the property of a third party company that has issued EasyDate with a license to use its content. A Partner can’t claim any rights on its usage. All content, uploaded or created on a Partner site becomes the property of the Partner, as EasyDate cannot be held responsible for a Partner’s content.
15.3 If a Partner becomes aware of any infringement regarding intellectual property rights, the Partner should notify EasyDate plc and do everything it can to co-operate and resolve the matter.
16. TERM AND TERMINATION
16.1 This agreement is effective upon approval of application to the EasyDate White Label Dating Network. This agreement may be terminated by either party with 2 months written notice.
16.2 EasyDate reserves the right to terminate this agreement, when:
- You have breached our terms and conditions
- You have been convicted of a criminal offence
- Your dating site has attracted less than 100 registrations (free sign ups) during its first 6 months, from the moment the site went live.
16.3 If EasyDate terminates your agreement, EasyDate may decide not to grant any pending payments at its own discretion if the agreement was terminated for the reasons stipulated in clause 15.2.
17. CHANGES TO TERMS AND CONDITIONS
17.1 EasyDate reserves the right to change any clause of these terms and conditions. Changes may occur at anytime and will be made at EasyDate's sole discretion. EasyDate White Label Partners will be notified of the changes 7 days prior to the changes taking place.
17.2 If you do not agree with the changes you can terminate this agreement immediately. Your site will be de-activated and you must remove any links to your dating site if they are present in other websites.
